These Terms & Conditions (the “Terms”) govern your access to and use of the website operated by WADE Advisory Inc. (“WADE,” “we,” “us,” “our”) (the “Site”). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1) About WADE

WADE Advisory Inc. is incorporated in Ontario, Canada and operates from Toronto, Ontario.

2) Purpose of the Site; No Online Transactions

The Site is provided for informational purposes and to allow you to contact WADE or subscribe to updates. The Site does not offer ecommerce functionality and does not process payments or complete transactions. Any services provided by WADE are subject to a separate written agreement between you and WADE.

3) No Professional Advice

The Site and its content are provided for general informational purposes only and do not constitute legal, financial, investment, tax, or other professional advice. You are responsible for obtaining appropriate professional advice for your circumstances.

4) No Client Relationship Created by Use of the Site

Your use of the Site, submission of a form, or subscription to updates does not create a client relationship, fiduciary duty, or confidentiality obligation. A client relationship with WADE exists only if and when both parties enter into a separate written agreement.

5) Acceptable Use

You agree not to:

  • use the Site for unlawful purposes;

  • attempt to gain unauthorized access to the Site or any systems or networks connected to the Site;

  • interfere with or disrupt the integrity or performance of the Site;

  • introduce malware or otherwise attempt to harm the Site or its users;

  • scrape, harvest, or collect information from the Site without permission; or

  • submit false, misleading, or impersonated information through Site forms.

We may suspend or restrict access to the Site if we reasonably believe you have violated these Terms.

6) Intellectual Property

Unless otherwise stated, the Site and all content and materials on it (including text, graphics, logos, visual identity elements, and frameworks) are owned by WADE or its licensors and are protected by applicable intellectual property laws.

You may access and use the Site for your personal or internal business purposes. You may not copy, reproduce, distribute, modify, publish, create derivative works from, or commercially exploit any part of the Site without WADE’s prior written consent.

7) Information You Submit

If you submit information through the Site (including via contact forms or email capture), you represent that the information is accurate and that you have the right to provide it.

Do not submit confidential, sensitive, or proprietary information through Site forms unless WADE has explicitly agreed in writing to receive it under confidentiality terms.

8) Email Signups and Communications (HubSpot; CASL)

WADE uses HubSpot tools (including forms and related features) to collect and manage submissions such as names, email addresses, and messages.

  • If you contact us, we may respond to your inquiry.

  • If you choose to subscribe to updates, we may send you marketing communications.

You can unsubscribe from marketing emails at any time using the unsubscribe link included in our emails. Unsubscribing from marketing emails may not prevent us from sending non-marketing communications where appropriate (for example, replying to a request you initiated).

WADE intends to obtain and manage marketing consent in a manner consistent with applicable Canadian anti-spam legislation (CASL).

9) Hosting and Third-Party Services (Squarespace and Others)

The Site is hosted on Squarespace. We may also use third-party services and integrations to operate the Site and support communications (including HubSpot and analytics or embedded-content providers).

Third-party services are governed by their own terms and privacy practices. WADE is not responsible for third-party services, content, availability, or security.

10) Cookies and Analytics

We and our service providers may use cookies and similar technologies to operate the Site, improve performance, and understand how the Site is used. You can control cookies through your browser settings and, where available, any on-site cookie controls.

11) Privacy

Your use of the Site is also subject to WADE’s Privacy Policy. If there is a conflict between these Terms and the Privacy Policy regarding personal information, the Privacy Policy will control.

12) International Use and Cross-Border Processing

If you access the Site from outside Canada, you understand that your information may be processed in Canada and/or other jurisdictions where our service providers operate, which may have different data protection laws than your jurisdiction.

13) Disclaimers

THE SITE AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WADE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WADE DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

14) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WADE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SITE OR ITS CONTENT, EVEN IF WADE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WADE’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED CAD $100.

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

15) Indemnification

You agree to indemnify and hold harmless WADE from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Site; (b) your violation of these Terms; or (c) your violation of any rights of another party.

16) Changes to the Site or These Terms

We may update the Site or these Terms from time to time. The “Last updated” date at the top reflects the most recent revision. Your continued use of the Site after changes become effective means you accept the updated Terms.

17) Governing Law and Venue

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.

Any dispute arising out of or relating to the Site or these Terms will be brought in the courts located in Toronto, Ontario, and you attorn to the jurisdiction of those courts.
